OR
BETWEEN: Christophe Degoy, Entreprise Individuelle (EI), self-employed, operating at 15 rue Eugène Voisin, 94340, Joinville-le-Pont, registered in the SIREN register under number 503 587 834, hereinafter referred to as: "Christophe Degoy EI" or the Service Provider;
AND The client, hereinafter referred to as Client.
It is agreed and agreed as follows:
PREAMBLE
The Service Provider is a consultant specializing in British visas. The Service Provider assists the Client in submitting their visa application for the United Kingdom. The purpose of this contract is to define the conditions under which the provider undertakes to provide the service defined in the preamble on behalf of its client.
Each assignment begins with a detailed analysis of the application that the Client entrusts to the Service Provider. This analysis allows for the definition of the process that will be implemented to best ensure the successful completion of the planned operation. It also allows for the definition of the pricing conditions that will be applied depending on the application. This analysis may be invoiced.
ARTICLE 1: PURPOSE OF THE CONTRACT
1.1 These General Terms and Conditions of Sale (GTC), set out below, relating to the Service Provider’s services, are regularly brought to the attention of the Client and are intended to define the conditions under which the Service Provider ensures the performance of the services entrusted by the Client and as stated in the quote signed by the Client.
1.2 They constitute the essential and determining conditions and prevail over all general terms and conditions and/or any other document issued by the Client, regardless of their terms. Thus, any order placed with the Service Provider implies unconditional acceptance of these general terms and conditions, unless the Service Provider has expressly agreed to include specific clauses before the contract is formed.
ARTICLE 2: NATURE OF SERVICES
The Service Provider is a consultant specializing in visas for the United Kingdom. The Service Provider assists the Client in submitting their UK visa application.
The Service Provider places its expertise at the service of its clients and, as such, provides them with all of its consulting services based on the needs previously defined between the Client and the Service Provider.
The Service Provider offers services related to the UK visa application, personalized support for the UK visa application, and assistance with associated administrative procedures, all of which are explicitly offered as services by the Service Provider.
ARTICLE 3: QUOTE AND ORDER
3.1 The contractual relationship between the Parties will be formalized by the Client’s signature of the quote based on the assessment of the Client’s needs.
The validity of the Order implies the Client’s prior, express, full, and unreserved acceptance of these General Terms and Conditions. In the absence of the Client’s signature on the quote, the explicit acceptance of the Order by any means (email, letter, text message, etc.), or payment of the invoice corresponding to the quote by the Client, by any means of payment made available by the Service Provider to the Client, or work begun on the Order at the request of the Client or a subordinate of the Client after the quote has been issued and received by the Client and before payment of the quote, also constitutes the Client’s signature of the quote, and therefore validity of the Order and full and unreserved acceptance of these General Terms and Conditions.
3.2 In the event of acceptance of cancellation of the order, or force majeure (in accordance with the terms defined in Article 8), the Client undertakes to pay for the portion(s) of the service already performed. The following fee scale also applies:
– If the temporary visa application form has not been completed by the Service Provider on the official GOV.UK website: the Client will pay an amount equivalent to the rate for a "Verification Consultation" according to the type of visa concerned and displayed in the fee schedule on the Service Provider’s website, in addition to the payment for any other services performed by the Service Provider on behalf of the Client.
– If the temporary visa application form has been completed by the Service Provider on the official GOV.UK website: the Client will pay an amount equivalent to the rate for the entire Order, in addition to the payment for any other services performed by the Service Provider on behalf of the Client.
Cancellation can only be made by registered letter with acknowledgment of receipt. Deposits
The amounts paid by the Client do not constitute a deposit, the waiver of which would entitle the Client to withdraw from the contract.
ARTICLE 4: PRICES
4.1 The prices of the Services indicated in Euros in the quote are those in effect at the time the Order is placed, are firm and non-revisable. The prices of the Services do not include value-added tax (VAT) in accordance with Article 293 B of the French General Tax Code and are therefore displayed exclusive of tax (ET).
Quotes are issued by the Service Provider for a validity period indicated on the quote, starting from the date of issue. The prices of the Services are set out in the quote, following a completion timeframe defined by the provisional schedule of the Offer.
4.2 The price set forth in the Offer does not include any extraordinary expenses incurred by the Service Provider and necessary for the successful completion of the assignment, as well as the cost of any additional or unforeseen services requested by the Client.
4.3 Any fees or services not included in the price of the Services will be listed in the Offer and reimbursed to the Service Provider via an amendment to the Offer.
4.4 Fees for services provided by third parties are not included in the price of the Services. This includes, for example, visa fees payable at immigration (visa fee, immigration health surcharge, etc.), center appointment fees, etc.
4.5 The prices of the Services are valid for the calendar year in which they are subscribed only. Any postponement of a service will result in a new pricing adjusted to the pricing for the current calendar year.
ARTICLE 5: PAYMENT TERMS
The service is invoiced according to the quote previously signed by the Client.
This is an order with payment obligation, meaning that placing the order implies payment by the Client.
To pay for their order, the Client may choose from all the payment methods made available by the Service Provider and listed on the Service Provider’s website. The Client guarantees to the Service Provider that they have the necessary authorizations to use the payment method chosen by them when validating the order form. The Service Provider reserves the right to suspend any order processing and delivery in the event of refusal of credit card payment authorization by officially accredited organizations or in the event of non-payment. In particular, the Service Provider reserves the right to refuse to make a delivery or to honor an order from a Client who has not fully or partially paid for a previous order or with whom a payment dispute is currently being administered.
The Client undertakes to pay any invoice issued by the Service Provider in cash on the invoice issue date, on the day of receipt for a private Client, and fifteen (15) days after the date of receipt for a business Client.
Payment of the price is made in full on the day of the order, according to the following methods:
– Credit card (PayPal)
– Bank transfer
ARTICLE 6: LATE PAYMENT
6.1 Any invoice issued for the service includes a payment date set as the invoice receipt date for a private Client, and fifteen (15) days from the invoice receipt date for a professional Client.
6.2 Any amount not paid on its due date or any payment not in accordance with the invoiced amount will automatically and without prior formal notice give rise to the payment of a late payment penalty, calculated on the basis of the European Central Bank’s (ECB) semi-annual key rate in effect on January 1st or July 1st, or the latest value if more recent, increased by 10 points per month of delay, as well as the payment of a fixed compensation for recovery costs in the amount of forty euros (€40) in accordance with Decree No. 2012-1115, Official Journal of October 4, 2012.
6.3 These penalties accrue from the day following the payment date shown on the invoice until the actual payment date, with any month started being due in full. Failure to pay on the due date will result, after the Service Provider sends a formal notice to the Client, in the immediate payment of all amounts still owed by the Client, in addition to the interest and penalties provided for in Article 6.1 and any legal costs.
6.4 In addition, the Service Provider may suspend or terminate all ongoing Services without prejudice to any other course of action. The Client shall not be authorized to withhold or defer payment of any amount owed to the Service Provider, even in the event of a dispute or claim.
ARTICLE 7: DURATION AND TERMINATION OF THE CONTRACT
7.1 This contract takes effect upon signature. In the event that its execution has begun before ratification by both parties, it is understood that execution would be covered a posteriori by the signing of this contract.
7.2 In the event of non-performance, refusal to pay, non-payment, or any breach by either party of its obligations under this contract, the other party may send the party responsible for the non-performance a formal notice, by registered letter with acknowledgment of receipt, requiring it to perform its obligation or cease its conduct prohibited by the contract. In such a case, if the formal notice remains ineffective after a period of 10 (ten) days from its receipt, the party affected by the non-performance may, at its discretion, terminate this contract automatically without notice.
7.3 Each Party shall also have the right to terminate the contract early, after formal notice sent by registered letter with acknowledgment of receipt to which the receiving Party has not responded appropriately within thirty (30) days following receipt of the formal notice, in the event that the other Party ceases to carry out its activities, the other Party is no longer solvent or is in liquidation or judicial recovery. In the event of termination of the Order by the Client outside of the cases provided for in Article 7.2, the Client undertakes to provide a notice period of thirty (30) days and to compensate the Service Provider for all amounts owed by the Client under the Order up to the effective date of completion of the Services, as well as for any costs incurred by the Service Provider for the completion of said Services.
The termination decision must be notified by registered letter with acknowledgment of receipt, and will start the thirty-day notice period, in accordance with the terms and conditions defined in Article 7.2.
ARTICLE 8: FORCE MAJEURE
8.1 The Service Provider shall not be liable in the event of the occurrence of an insurmountable and unforeseeable event. Force majeure events or unforeseeable circumstances, in addition to those usually recognized by the case law of French courts and tribunals, include any telecommunications interruption, failure of the electricity distribution network, loss of internet connectivity regardless of the equipment or network involved, and service interruptions to the websites and services of the British Immigration Service and/or the websites and services of the Visa Application Centre, provided that they are not under the control of the Service Provider and are likely to affect the proper performance of the Service Provider’s services.
8.2 Initially, force majeure events will suspend the performance of the contract. If force majeure events persist for more than one month, this contract will be automatically terminated, unless otherwise agreed between the parties. This termination will not give rise to any right to compensation on either side, except in the cases provided for in accordance with the terms and conditions defined in Article 3.2.
ARTICLE 9: OBLIGATIONS AND CONFIDENTIALITY
9.1 Throughout the negotiation, execution, and completion of the Order, the Parties undertake not to disclose or allow the disclosure by their personnel of any information or document obtained from the other Party, by any means whatsoever, in connection with the Order, except to a third party who is themselves bound under the same conditions to keep confidential any document or information whose disclosure to them is necessary for the execution of the Order. Each Party undertakes not to exploit said information for its own benefit and/or that of a third party.
9.2 The above-mentioned undertaking does not apply to information and documents that have entered the public domain for any reason other than a breach of this article, are already in the possession of the Party concerned at the time of disclosure by another Party, or when, after disclosure by another Party, such documents and information are received from a third party authorized to disclose them. These documents and information must be produced, if necessary, only before the courts and before representatives of the tax and social security authorities authorized to obtain disclosure. The Client shall provide the Service Provider with access to its facilities and all information necessary to perform the Services under the Order.
ARTICLE 10: LIABILITY
10.1 The Service Provider undertakes to perform the Services with all due care customary in its profession and to comply with applicable industry standards. Furthermore, subject to any mandatory legal provision to the contrary, it is expressly specified that the Service Provider is only bound by an obligation of means and not of results.
10.2 In the context of an assignment that includes the submission of a visa application, the Service Provider’s assignment ends precisely at the time the visa application is submitted to the United Kingdom immigration services: UK Visas and Immigration (UKVI) on the official website GOV.UK, and/or to the services of the UK Visa Application Centre if the Client is required to visit the application centre.
10.3 The Client is informed of the means of tracking their visa application, after submission of the application, according to the means made available (or not) by UKVI and/or the UK Visa Application Centre. The Service Provider is not responsible for the failure to notify a decision by a third party (UKVI services, visa application center, etc.), or if the Client’s email settings prevent the proper receipt of this notification.
10.4 The Service Provider is not responsible for services provided by a third party, such as services provided by the UK Immigration (UKVI), the UK Visa Application Center, etc. The Service Provider is also not responsible for the non-performance of services provided by a third party and paid directly by the Client to this third party.
10.5 The Service Provider is not liable for indirect damages, including loss of profits or anticipated savings, even if the Service Provider was aware of the possibility of the occurrence of such damages, even resulting from a fault on the part of the Service Provider or a fault in the performance of the service under this contract.
10.6 The Client has taken care to take out insurance for all harmful consequences of the actions for which it could be held liable under this contract.
ARTICLE 11: NON-ASSIGNABILITY OF THE CONTRACT
Since the parties were chosen based on their personalities, they expressly prohibit themselves from assigning this contract in whole or in part, for consideration or free of charge, in any form whatsoever, or from subcontracting its execution in whole or in part to a third party without the prior authorization of the other party.
ARTICLE 12: DISPUTES
This contract and general terms and conditions are subject to French law. In the event of a dispute concerning the validity, execution, interpretation and/or termination of these General Conditions and Contracts, the parties agree to endeavor to resolve the dispute amicably within one month from the date of its occurrence. In the absence of an agreement within this period, the most diligent party may refer the matter to the Commercial Court of Créteil (FRANCE), to which the parties expressly grant jurisdiction, even in the event of a warranty claim and multiple defendants.
